Service Agreement Between Client & Agency

Please review this agreement carefully, as it sets forth the understanding between you (“Client”) and Seniorly Yours, LLC (“Agency”) regarding the services you have requested, and we will provide for you. If you have any questions, concerns, or issues about the content of this Agreement please contact us for clarification before signing it.

(“Client”) on the terms and conditions set out below:

1.Term of Agreement. The term of this agreement will start on the Effective Date and will continue an as-needed basis until the Agreement is terminated by either party, as provided hereunder.
2. Services Requested. We will provide the services (“Services”) requested and agreed upon as set out in the Service Plan enclosed. The preferred day, time and duration of services will be mutually agreed upon by you and/or your representative and the agency.
3. Rates, Fees & Deposits. We will provide the services at the current rate of $___.00/hr within a 30-mile radius, over 30 miles the rate will be $_N/A_.00/hr. Rates are subject to change at any time given a 30 day notice to client. A deposit of $500 is required prior to commencing services, $400 will be applied as credit to first billing statement and any statement after until full amount has been applied. Cancellation of services after scheduling has been provided (per each week) will not receive a refund on deposit. Example: Schedules post every Tuesday at noon for the week days Saturday through Friday. Cancellation requests must be made 14 days in advance.
4. Billing. We bill on a Weekly basis and payment is due upon receipt, unless prior arrangements have been made through office personnel. Any questions regarding your invoice should be directed to our office only.
Payment and Overdue Accounts. Fees for services rendered are payable upon receipt of invoice. Payment may be made online (preferred) or by check, or money order. The Agency does not accept checks endorsed to any caregiver, and payment should not be given to the caregiver. An account is considered overdue if not paid within 3 days of the billing date.
A late fee will be charged on account balances which remain unpaid after the 3rd day at the rate of $35.00 per week, until paid, unless prior arrangements have been made. We reserve the right to discontinue providing services until the account is paid in full. A $35.00 returned check fee will be charged if your payment does not clear our bank due to non-sufficient funds.

5. Cancellations. Cancellations may be made up to 7 days in advance of a scheduled visit without charge. We reserve the right to charge for a scheduled visit if a 24-hour notice is not provided by a client or family member for unexpected circumstances. All cancellations MUST be made through office personnel and not caregivers. Office: 940-550-3040 after 4pm on business days and weekends Cell: 940-282-0122.
6. Termination. Either “Client” or “Agency” may terminate this agreement at any time, with a minimum of 14 days written notice to the other party. If either party terminates this Agreement, all fees due at time of termination will be due and payable by you immediately. We will immediately refund any prepaid fees.
7. Amendments. Should either the Agency or Client wish to amend the Agreement:
a. Either an Agency Representative or the Client may initiate a meeting to determine the scope of the amendment and determine the sections of the Agreement that need to be modified, added, or deleted.
b.When both parties consent to the amendments, the changes shall be recorded in writing.
c. If the Agreement requires extensive changes, an entirely new agreement shall be drawn up. Otherwise, small changes can be handled via a letter or a notation.
d. All parties who signed the original agreement shall sign the Amendment.
e. The Amendment shall be dated with a copy being given to the Client and a copy being filed in the Client’s records at the Agency’s office.
f. Relevant staff and other persons shall be advised about any change in the Agreement terms immediately.
8. Transportation. If a Caregiver of the Agency transports a client in their own, company vehicle or the client’s vehicle, the client will release the Agency and caregiver from all liability should an injury or accident occur.
If the caregiver transports in own vehicle, there will be a mileage rate of $.65 cents per mile
9. Private/Direct Hiring and Scheduling: This Agency will not tolerate solicitation of any Caregiver contracted by this Agency, nor will tolerate a Caregiver soliciting a client signed by Seniorly Yours, LLC Agency.
You may not privately/directly hire an Agency Caregiver while assigned to you, and for a period of 2 years following the date that caregiver last provided services for you. In the event you break this condition, a replacement fee of $2500.00 per active Caregiver is due to the Agency immediately upon your employment of that individual(s). In addition, If we provide 24 hour care, the minimum amount for a replacement fee will be 2 months at the current rate x 24 hr / 7 days per week.
Scheduling: Changes of scheduled hours must be called into the office @ 940-550-3040. After 5pm, please call 940-282-0122. We ask that you communicate any changes to the office and not call or text the caregivers.
10. Background Checks The Agency requires that all new Caregivers undergo criminal and other background checks and drug screening as a condition of employment, in accordance with Agency’s Pre-employment Background Check and drug screen Policy, Federal Department of Labor Regulations and State Laws.
11. Severe/Bad Weather. In severe weather, we may determine it is not safe for our Caregivers to travel and provide services to your home that day and may have to cancel that day’s service. When this occurs, we will notify you and reschedule. We appreciate your understanding regarding this matter.
12. Supplies and Equipment. You are responsible for supplying all supplies (i.e. cleaning and personal care etc.) and equipment which may be necessary in the provision of services. Extra charges will apply if the Agency provides the supplies and/or equipment.
13. General Information. You will be provided with a list of contact names and numbers in the event you have any questions or concerns, or should an emergency arise.

Your signature and/or your representative’s signature below indicate that you and/or your representative: have been given sufficient, relative information to be able to give your informed consent to the terms and conditions of this agreement; and understand, and agree with, the terms and conditions of this Agreement.
